A solicitor since 1988 with wide experience of corporate transactions and company commercial work.  Work she has carried out includes the following:

• M&A
  Acquisitions and disposals (business/trade and share sales) in the UK across a wide range of industries within the private sector; advice on deal structure; target investigations/due diligence; confidentiality/non disclosure agreements; joint venture/investment arrangements and shareholder agreements; management buy-outs; asset purchases from receivers and administrators.
  
  
• Corporate:  
  Intra-group/corporate restructuring; Companies Act meetings and resolutions; company own share purchases and reductions of capital; compliance work and other company secretarial work.
  
  
• Commercial:
  Long term goods and services supply and purchase agreements; terms and conditions of sale and purchase; agency and distribution agreements; franchise agreements; partnership/limited liability partnership agreements.
  
  
• E-commerce and Intellectual Property:
  Intellectual property licensing agreements (trade mark, copyright, patents etc.); e-commerce terms and conditions of business; data protection/privacy advice.

  Directors’ service contracts; contracts of employment; staff handbooks; disciplinary and grievance procedures; advice on the impact of TUPE on business transfers, restrictive covenants and applicable legislation; consultancy agreements.

  Contracts with promoters and venue owners for the performance of shows and related sponsorship, filming and merchandising arrangements; contracts with sub-contractors (composers and designers) for the provision of services and related copyright ownership/moral rights aspects.

  Educated at Benenden and Bryanston schools and Bristol University, obtaining a degree in Modern Languages (French & Italian).   Articled at Bischoff & Co and admitted as a solicitor in 1988.

  1996 to date: Commercial solicitor (own practice).
  1993 to 2005: Associate/Consultant to Burley & Company, London entertainment practice based in Holborn providing specialist legal advice to high profile performing artists.
  1989 to 1993: Assistant solicitor at Frere Cholmeley Bischoff - City of London (corporate finance/commercial department).
  1988 to 1989: Assistant solicitor at Bischoff & Co – City of London (commercial department).
